Terms of Service

These Terms of Service ("Terms") govern your access to and use of Lumina Analytics ("Service") provided by PyxonData Inc. ("Company", "we"). By accessing the Service, you agree to these Terms.

1. The Service

Lumina is a SaaS platform that provides AI-powered data analytics. Your data files are processed primarily within your local browser environment using DuckDB-WASM ("Local Engine"), ensuring your raw data never leaves your device. AI-powered insights are generated by sending metadata and small data samples to the Google Gemini API. The Service includes data visualization, AI chat, simulation, a boardroom for executive analysis, an Agent Marketplace, and periodic campaigns and challenges.

2. Subscription Plans & LUM Token Economy

The Service uses an internal compute currency called LUM (Lumina Unit of Measure). LUM tokens are consumed when you use AI-powered features. The exchange rate is $1 CAD = 1,000 LUM.

2.1 Subscription Tiers

• Free Plan: Includes a one-time welcome grant of 3,000 LUM upon signup. Access to core features including AI chat, data visualization, data cleaning, and all standard agents. Users may purchase additional LUM top-up packs at any time without upgrading. No monthly fee.
• Team Plan ($1,500 CAD/mo): Includes 3 seats, unlimited usage (no LUM metering), team management and client sharing, boardroom, simulation, reports, and data export. Billed monthly with a 1-year minimum term and 30-day written cancellation notice. Additional seats available on request.
• Developer Seat ($149 CAD/mo): Available separately for users who wish to publish agents to the Marketplace and earn revenue. Includes marketplace publishing rights and revenue sharing (50% of LUM revenue from agent usage). All published agents must meet quality criteria and be approved by Lumina before going live. Anyone may build agents for personal use without a Developer Seat.
• Enterprise Plan (Custom): Custom pricing scoped per client. Includes all Team features plus on-premises deployment, agent export for self-hosting, MCP integration, bring-your-own-LLM (BYOK), SSO/SAML, SLA guarantees, dedicated support, and custom data retention policies.

2.2 LUM Token Purchases

All registered users, including those on the Free plan, may purchase additional LUM tokens at any time via Stripe one-time payments:

• 30,000 LUM for $30 CAD
• 100,000 LUM for $100 CAD
• 300,000 LUM for $300 CAD

LUM tokens do not expire while your account is active. LUM tokens have no cash value and are non-refundable except as required by applicable consumer protection law.

2.3 Feature Multipliers

Different features consume LUM at different rates. The base rate applies to AI chat (1x). Other features apply a multiplier to the base cost:

• Chat & Support: 1x
• Analysis & Agent Creation & Data Cleaning: 1.5x
• Simulation & Radar & Scout: 2x
• Boardroom: 3x

Feature multipliers and LUM consumption rates may be adjusted during the Beta period with reasonable notice.

3. User Data & Content

You retain all ownership rights to the data you upload. You grant the Company a limited license to process this data solely for the purpose of providing the Service to you. You represent that you have all necessary rights and consents to upload such data.

AI-generated insights, charts, and reports created from your data are considered derivative works. You own these outputs. The Company claims no ownership over content generated from your data.

4. Beta Campaigns & Challenges

The Company may operate promotional campaigns, including the 30-Day Data Challenge ("Challenge"). Participation in Challenges is subject to the following terms:

• Eligibility: Open to individuals aged 18 or older. One account per person. No purchase is necessary to participate.
• LUM Grants: Participants may receive a free LUM token grant upon joining a campaign. Grant amounts are set per campaign and are non-transferable.
• Missions: Challenges may include daily missions involving curated public datasets paired with AI agents. Completing missions and spending LUM earns draw entries.
• Weekly Prize Draws: Draws are conducted weekly (Fridays) using a weighted random selection where each LUM spent = 1 draw entry. Prizes are CAD gift cards. Minimum participant and minimum LUM spend thresholds must be met before a draw is conducted.
• Agent Ratings: Participants may rate AI agents (1-5 stars) after completing missions. Ratings are aggregated and displayed publicly.
• Fair Play: The Company reserves the right to disqualify accounts that abuse the system (e.g., creating multiple accounts, automated queries, or fraudulent activity). Decisions are final.
• Modification: The Company may modify, suspend, or cancel any campaign at any time with reasonable notice.

5. AI Disclaimer

The Service utilizes Artificial Intelligence (AI), including the Google Gemini API, to generate insights. AI can make mistakes. You acknowledge that insights, charts, models, and recommendations are generated automatically and should not be the sole basis for critical business, financial, medical, or legal decisions. The Company makes no warranties regarding the accuracy, completeness, or reliability of AI outputs. Users in regulated industries (finance, healthcare, legal) are responsible for independent validation by licensed professionals.

6. Limitation of Liability

To the maximum extent permitted by applicable law (including the Consumer Protection Act of Alberta):

• The Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, or data.
• In no event shall the aggregate liability of the Company exceed the amount you paid for the Service in the past six (6) months, or $100 CAD, whichever is greater.
• The Company is not liable for LUM token losses caused by AI query errors, platform bugs, or service interruptions. Reasonable efforts will be made to resolve billing discrepancies.
• The Company is not liable for data loss resulting from browser cache clearing or local storage deletion, as raw data is processed client-side and not stored on our servers.

7. Refunds & Cancellation

• Team Subscriptions: Team plans are subject to a 1-year minimum term. Cancellation requires 30 days written notice. Cancellation takes effect at the end of the current billing cycle. No prorated refunds are provided for partial months.
• Enterprise Subscriptions: Cancellation terms are defined in the individual enterprise agreement.
• LUM Purchases: One-time LUM token purchases are non-refundable except where required by applicable consumer protection law or in cases of platform billing error.
• Challenge Prizes: Prize fulfillment is subject to winner verification. Unclaimed prizes expire 30 days after notification.

9. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law.
• Create multiple accounts to abuse free LUM grants, challenge rewards, or draw entries.
• Use automated tools (bots, scripts) to interact with the Service without authorization.
• Attempt to reverse-engineer, decompile, or extract proprietary algorithms from the Service.
• Upload data you do not have the right to process, or data that violates the rights of third parties.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein. Any disputes arising under these Terms shall be resolved in the courts of Calgary, Alberta.
